Representing a publicly traded advanced materials company, we are proud to be leading the search for a Corporate Counsel, Securities, M&A & Corporate Development. This role will support SEC reporting, mergers and acquisitions and strategic transactions, corporate governance, and commercial legal matters at a growing NASDAQ listed public company.

Reporting to the Deputy General Counsel and General Counsel, this is a pivotal role offering the opportunity to work closely with executive leadership, influence strategic initiatives, and contribute to the continued growth of the organization.

As the Corporate Counsel, Securities & Corporate Development, you will be responsible for:

  • Supporting the preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements
  • Assisting with compliance related to Exchange Act reporting obligations and stock exchange listing requirements
  • Preparing and coordinating Section 16 filings and supporting insider trading compliance programs
  • Assisting with earnings releases, investor presentations, and other public disclosures
  • Supporting acquisitions, divestitures, joint ventures, strategic investments, and other corporate transactions
  • Managing legal due diligence processes and assisting with transaction execution and closing activities
  • Supporting equity offerings, debt financings, private placements, and other capital markets transactions
  • Assisting with Board and committee materials, corporate governance documentation, and annual meeting requirements
  • Drafting, reviewing, and negotiating NDAs, consulting agreements, vendor contracts, and other commercial agreement
  • Partnering with business stakeholders to provide practical legal guidance and support operational initiatives

To be successful in this role our client is looking for a:

  • J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction
  • Attorney with approximately 3-6 years of legal experience gained within a leading law firm and/or publicly traded company
  • Experience supporting SEC filings, securities law compliance, and public company obligations
  • Experience with mergers and acquisitions, corporate transactions, capital markets, or corporate governance matters
  • Strong drafting, negotiation, and project management capabilities
  • Ability to manage multiple priorities and operate effectively in a fast-paced environment
  • Strong communication skills with the ability to engage cross-functionally with finance, executive leadership, and external advisors
  • Prior in-house experience is advantageous but not essential
