About The Role
We are seeking an experienced transactional lawyer to join Freestone as Corporate Counsel in Seattle. You will work closely with the General Counsel and gain broad exposure to the firm’s investment and operations groups. A substantial portion of your responsibilities will involve supporting the firm’s investment activities, including joint ventures, small- to mid-cap M&A, and real estate acquisitions, as well as investment management mandates. You will be involved in challenging projects within a collaborative and fast-paced environment that values creativity, thoughtful problem-solving, and attention to detail.
Key Responsibilities
The role encompasses a wide array of responsibilities, ranging from negotiating and closing joint ventures, M&A, real estate acquisitions, and investment management mandates, to supporting select legal issues at the portfolio company level.
This role will also involve maintaining investment funds and their associated offering documents, regulatory compliance matters, and general corporate matters (e.g., corporate governance, vendor contracts, tax, and employment issues).
You will work closely with the firm’s business groups to support their legal needs.
Qualifications And Skills
J.D. degree and 4–6+ years of law firm transactional experience, including due diligence, M&A, real estate acquisitions, and joint ventures.
Familiarity with tax structuring and investment advisory issues (e.g., the Investment Advisers Act) is a plus.
Enjoys fast-paced work environments and having ownership over work projects.
A keen eye for detail; efficient and highly productive.
Flexible and level-headed, with superior organizational and project management acumen.

The expected annual base salary for this position is $170,000–$290,000, depending on experience and skill set. In addition, the position is eligible for a discretionary bonus based on company and individual performance.
